US AND FOREIGN CORPORATIONS DOING BUSINESS ON GUAM

 

Guam is open for business to Companies from other states and even foreign countries. Off Island Corporations and Companies that will actually have a presence in Guam, or wish to participate in Government Procurement, will first need to register their corporation and obtain a business license. Companies engaged in the construction industry, may also need a contractor's license. In most instances, the companies will also need to have a local agent.

Generally, all construction contractors (and subcontractors) doing business on Guam are required to be licensed with the Guam Contractors License Board, but do not need a regular business licenses. This applies to both local and off-island construction companies.

An exception to this general rule is permitted in the case of a foreign or an off-island contractor doing work exclusively on US military installations. These companies do not need a Contractor's License, but must still obtain a general business license.

All foreign or off-island corporations, Limited Liability Companies, etc. engaged in construction, whether on military installations or not, are still required to register their company and obtain a certificate of authority.

A foreign corporation, limited partnership or LLC, may not transact business in Guam until it obtains both a business license and a certificate of authority to do so from Guam’s Director of the Department of Revenue and Taxation. The definition of what constitutes "transacting business" is complicated and if there is any doubt, it is better to obtain professional advice, and/or error on the side of obtaining a permit.

The penalties for conducting business in Guam without the proper authority are stiff and may include a fine of up to $200 per day. A foreign corporations may also be denied access to the courts, in the event a dispute arises.

The filing fee for the certificate of authority is $100.00.

Further, a foreign corporation or entity authorized to transact business on Guam must continuously maintain on Guam  a registered office and agent.
